Overview

Every company incorporated under the Companies Act, 2013 has mandatory annual compliance obligations regardless of whether it conducted any business during the year. Failure to comply results in escalating MCA penalties, director disqualification, company strike-off, and personal liability for officers in default. Late filing fees for AOC-4 are Rs.1,000/day and for MGT-7A Rs.100/day — with no upper cap for persistent defaults.

MFiling provides a comprehensive annual compliance package for Private Limited Companies, One Person Companies, and Producer Companies — covering AGM documentation, all MCA filings (AOC-4, MGT-7A, ADT-1, DPT-3), board meeting minutes (minimum 4 per year), statutory register maintenance, and DIR-3 KYC tracking. A dedicated compliance officer monitors all deadlines and proactively triggers each filing well before its due date.

Annual Compliance Calendar: AGM by September 30 → AOC-4 (financial statements) within 30 days of AGM → MGT-7A (annual return) within 60 days of AGM → ADT-1 (auditor appointment) within 15 days of AGM → DPT-3 (deposits return) by June 30 → DIR-3 KYC by September 30.

MFiling annual compliance package: from Rs.8,999/year (standard private limited company).

Frequently Asked Questions

What if the company did not conduct any business during the year — are annual filings still required?
Yes. Annual compliance is mandatory regardless of business activity. Companies with no transactions file nil accounts — Balance Sheet with zero or opening balances, nil P&L. AOC-4, MGT-7A, ADT-1, and ITR-6 are all still required. The only relief is applying for Dormant Company status under Section 455 (MSC-1), which reduces annual filing to just MSC-3 and annual DIN KYC.
Can a company hold its AGM through video conferencing?
Yes. MCA circulars permit AGMs through video conferencing and other audio-visual means (OAVM). All requirements — quorum, proper notice, voting, minutes — apply as for physical meetings. For listed companies, additional SEBI requirements for electronic voting (remote e-voting) apply. MFiling assists with VC-based AGM documentation and minutes preparation.
